Terms

These terms ("Terms") govern your use of NoteCal ("the app", "we", "our", or "the operator"). NoteCal is operated by Edmond Yang, an individual based in Canada. By downloading, installing, or using NoteCal, you agree to these Terms. If you do not agree, please do not use the app.

1. The service

NoteCal is a mobile application for tracking food intake, nutrition, and body weight. You can enter food items in plain language and our system uses AI (Google's Gemini) to estimate the corresponding calorie and macronutrient values. The app also supports barcode scanning, AI food photos, a branded food database, custom meal building, weight tracking with photos, personalized goals, meal reminders, and (on iOS) Apple Health sync.

You should consult a qualified healthcare professional before making changes to your diet, exercise, or supplement regimen. In particular, do not rely on NoteCal if any of the following applies to you, and seek professional guidance instead:

3. Eligibility and your account

You must be at least 13 years old to use NoteCal. If you are between 13 and the age of legal majority in your jurisdiction, you may use the app only with the consent of a parent or guardian who accepts these Terms on your behalf. Some jurisdictions (including parts of the EEA) require a higher minimum age for digital consent; in those jurisdictions you must meet that age or have parental consent.

You can use NoteCal without creating an account. If you sign in, you are responsible for maintaining the security of the device and identity provider (Google or Apple) you use to access the app, and for any activity that occurs under your account.

5. Subscriptions, free trials, and renewals

Some features of NoteCal (including AI text entry of food, AI food photos, and saved entries) require an active Pro subscription. Subscriptions are sold through the Apple App Store. Current plans are:

Prices in your local currency, and the actual length and eligibility of any free trial, are shown on the in-app paywall before you confirm purchase. Prices may differ between regions and may change in the future; we will notify you in the app before any price change applies to your existing subscription.

Auto-renewal terms (yearly and monthly subscriptions).

Lifetime purchases do not auto-renew and provide ongoing access to Pro features for as long as the NoteCal service is operated and accessible on the App Store.

6. Refunds

All purchases of subscriptions and lifetime upgrades are processed and managed by Apple. Refund requests are handled by Apple under its refund policy; we cannot directly process refunds on Apple's behalf. We will, of course, do our best to help if you have a problem with your purchase — contact us using the address in Section 19.

7. Your content

You retain ownership of the food entries, notes, photos, and other information you put into the app. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process this content solely to operate the service for you (for example, to sync it across your devices, resolve nutrition values, and store weight-tracking photos in your private storage area). This license ends when you delete the content or your account, except for backups and similar copies that are deleted on a routine schedule.

8. Our content

The NoteCal app, name, logo, and design are owned by the operator. These Terms do not grant you any rights to use our trademarks, branding, or visual design outside of normal in-app use.

9. Third-party services

NoteCal relies on third-party services to deliver core functionality, including Supabase (database and storage), Google Gemini (AI), RevenueCat (subscription management), Apple (App Store, Apple Sign-In, HealthKit), Google (Google Sign-In), and FatSecret Platform API (branded food and barcode lookups). Your use of features that depend on these services is also subject to the terms and policies of those providers. We are not responsible for the acts or omissions of third-party providers.

10. App Store terms (Apple)

Because NoteCal is distributed through Apple's App Store, the following additional terms apply between you and us, with Apple having the rights described:

11. Termination

You can stop using the app and delete your account at any time from in-app settings. We may suspend or terminate your access if you materially violate these Terms, if continued provision of the service to you exposes us to legal or regulatory risk, or if your use of the app risks harm to the service or to other users. We will use commercially reasonable efforts to give you advance notice unless doing so would be impractical or would compromise the safety or security of the service.

12. Disclaimer of warranties

The app is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted availability, or non-infringement, except for warranties that cannot be disclaimed under applicable law. We do not warrant that nutrition values, calorie estimates, or any information produced by the AI are accurate or complete, or that the service will be uninterrupted, secure, or free of errors.

13. Limitation of liability

To the fullest extent permitted by applicable law, the operator, its affiliates, and its service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or related to your use of the app or these Terms, even if we have been advised of the possibility of such damages. Our total cumulative liability for any and all claims arising out of or related to these Terms or your use of the app is limited to the greater of (a) the total amount you paid us (or paid Apple for your subscription to NoteCal) in the 12 months preceding the event giving rise to the claim, or (b) US$50.

Nothing in these Terms limits or excludes liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law (including, where applicable, mandatory consumer-protection statutes in your jurisdiction). If you are a consumer in a jurisdiction whose mandatory consumer-protection laws provide you with rights or remedies in addition to or different from those described here, those laws will apply to the extent they cannot be waived.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless the operator and its service providers from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your violation of these Terms, (b) your misuse of the app, (c) your violation of any law or the rights of any third party (including intellectual property rights) in connection with your use of the app, or (d) any decision you make on the basis of information shown to you by NoteCal that contributes to harm to yourself or another person.

15. Force majeure

We are not responsible for any failure or delay in performing our obligations under these Terms to the extent caused by events beyond our reasonable control, including outages of third-party infrastructure providers, acts of God, natural disasters, war, terrorism, civil disturbance, labor disputes, government action, changes in law, or interruptions of internet, telecommunications, or hosting services.

17. Dispute resolution and governing law

These Terms and any dispute arising out of or relating to them or to your use of NoteCal are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. The courts located in Toronto, Ontario, Canada will have exclusive jurisdiction to hear and decide any such dispute, and you and we consent to that jurisdiction and venue, except that nothing in this section limits your right to bring proceedings in your local courts where applicable mandatory consumer-protection law requires that option, and except that we may seek urgent injunctive relief in any court of competent jurisdiction to protect our intellectual property or the integrity of the service.

Before filing a claim against us, you agree to first contact us at the address in Section 19 and try in good faith to resolve the dispute informally for at least 30 days.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and provide reasonable notice in the app before the changes take effect, where practicable. Continued use of the app after the update takes effect constitutes acceptance of the revised Terms.
